Terms & Conditions of Service
These Terms & Conditions apply to all quotes, work orders, and invoices issued by Badlands Crane & Hoist Ltd. ("Badlands", "we", "us") to the client named on the accompanying quote or invoice ("Client"). By accepting a quote, authorizing work to proceed, or accepting delivery of services, the Client agrees to be bound by these Terms.
1. Scope of Work

● Inspections are visual and functional in nature and are performed in accordance with applicable CSA standards and manufacturer guidelines. An inspection does not guarantee the future performance of equipment or components not inspected.
2. Quotes & Pricing
● Quotes are valid for 30 days from the date issued unless otherwise stated, and are based on information and access provided by the Client at the time of quoting.
● Prices are subject to change if job conditions, scope, or required parts differ materially from what was quoted.
● Parts and third-party freight are billed at cost plus applicable markup unless otherwise agreed in writing.
3. Payment Terms
● Invoices are due within 15 days of the invoice date unless alternate terms are agreed in writing.
● Accounts outstanding beyond 30 days may be subject to a late payment charge of 2% per month (24% per annum) on the overdue balance.
● Badlands reserves the right to suspend further work or deliveries on any account with an overdue balance.
● Parts & Materials Deposit. For repairs requiring parts or materials, Badlands will provide a separate parts invoice reflecting the estimated cost. This amount is due in full prior to Badlands placing the order with the supplier. Labor and any remaining balance will be invoiced separately upon completion of the work, per standard payment terms. Badlands reserves the right to delay order placement, and therefore job completion, until the parts deposit has cleared.
4. Site Access, Safety & Client Responsibilities
● The Client is responsible for ensuring safe, lawful access to the equipment and work site, including any required site-specific orientations, permits, lockout/tagout, or ground disturbance approvals.
● The Client will disclose any known hazards, prior damage, or non-standard modifications to the equipment before work begins.
● Badlands technicians follow their own safety protocols and PPE requirements and may pause or decline work if site conditions are deemed unsafe.
5. Warranty & Liability
● Workmanship on repairs is warranted for 90 days from completion, limited to the specific repair performed. Parts carry the warranty provided by their manufacturer.
● This warranty does not cover damage from misuse, lack of maintenance, unauthorized modification, or normal wear and tear.
● Badlands' total liability for any claim arising from services provided is limited to the value of the invoice for the work in question. Badlands is not liable for indirect, incidental, or consequential damages, including lost production or downtime, except where such liability cannot be excluded by law.
● Badlands carries commercial general liability insurance; a certificate of insurance is available to the Client on request.
6. Cancellation & Rescheduling
● The Client may cancel or reschedule a booked job with at least 24 hours' notice at no charge. Cancellations with less notice, or work stopped after a technician has been dispatched, may be subject to a trip/mobilization charge.
7. Governing Law
● These Terms are governed by the laws of the Province of Alberta. Any dispute arising from services provided will first be addressed through good-faith discussion between the parties before other remedies are pursued.
